The regular holding of general meetings and board meetings (for public limited companies – SA) is a fundamental legal obligation for all Luxembourg companies. These governing bodies must comply with strict formalities: timely convocation with a clear agenda, compliance with quorum and voting requirements, drafting of legally compliant minutes, signature by participants, archiving in statutory registers, and, where required, publication with the RCS.
